1. Title
The Club shall be called 'The Pike Anglers' Club of Great Britain' (hereinafter
called 'The Club'). 2. Objects
The objects of the club shall be: (a) To promote the conservation of the pike,
the conservation and development of pike fisheries and the highest standards of
the sport of pike angling, and to promote public awareness of these standards
and the need for conservation throughout wherever deemed necessary. (b) To
disseminate information and guidance on pike angling and conservation techniques.
(c) To secure effective consultation and liaison with water authorities and other
relevant bodies and with representatives and consultative bodies of angling and
fishery interests and other relevant bodies or organisations to ensure that the
interests of the pike and the views of pike anglers in the furtherance of these
objects are taken into proper account. (d) To promote the development of pike
fisheries, including the acquisition and management of fisheries for such purposes.
(e) To undertake such other activites related to the sport of pike angling or
the conservation of the pike, whether ancillary of these objects or otherwise
as the Committee (as herein defined) may in its absolute discretion deem to be
in the interests of the Club. (f) To provide opportunities for social contact
between pike anglers. (g) To ensure that children, young people and vulnerable
adults will find pike angling a safe environment in which to have fun, learn and
develop, and to seek to ensure this by adopting, using and promoting the Joint
Angling Governing Bodies' Child Protection Policy Guidelines Document. 3.
Membership The Club shall consist of a President,
Chairman, Secretary, Treasurer, Honorary Life Members, Members and such other
categories of membership as the Committee (as herein defined) may from time to
time designate, during the currency of their membership. The qualifications and
currency of the foregoing categories of membership shall be as follows: a)
President, Chairman, Secretary and Treasurer Such persons selected by the
Committee (as herein defined) to lead, organise and manage the affairs of the
Club and promote its ideals for such period as may be determined by the Committee. b)
Honorary Life Membership Every person who shall have been a member of the
club, rendered exceptional service to it and who shall be selected to such class
of membership by the committee (as herein defined). In cases of the most exceptional
and long-standing service to the club, Honorary Life Membership may be additionally
accorded the honorary status of Senior Fellowship at the discretion of the committee.
Bill Chillingworth, Hugh Reynolds, Barrie Rickards and Eric Hodson being accorded
the honorary status of Founding Fellows of the club. c)
Ordinary Membership Every person who shall have paid the annual subscription
of such amount as shall be determined from time to time by the Committee (as herein
defined) and been selected for membership or continued membership by the Committee,
such selection being at the absolute discretion of the Committee. d)
The Committee may, in its absolute discretion, refuse membership to or forthwith
expel from membership any person whose conduct, in the reasonable opinion of the
Committee (as herein defined) has been or is likely to be injurious to the interests
of the Club, is otherwise objectionable in any respect whatsoever, or otherwise
contravenes the ideals of the Club, particularly regarding the conservation of
specimen pike PROVlDED ALWAYS that any member is first advised of a proposal to
expel him/her and afforded a reasonable opportunity to make representation in
writing to the Committee before any action is taken thereon. 4.
Committee a) The management of the affairs of
the club shall be exercised by a committee comprising the President, Chairman,
Secretary and Treasurer for the time being of the Club in consultation from time
to time with the members (as herein defined) of the Club. The Committee may co-opt
such further members as it considers to the appropriate to serve as full members
of the Committee or as advisers on particular aspects of the Club's activities
for such period as the Committee shall determine from time to time. Unless special
circumstances can be shown to exist, the Committee will serve the Club for a period
of three years plus any changeover period required. Likewise, each committee shall
appoint a new Chairman at their discretion. b)
The Chairman shall, in his absolute discretion, have the power to establish a
new Committee in the event of the Committee for the time being ceasing to function
howsoever this may arise. The Chairman shall be empowered to remove from office
such other or all members of the Committee if he deems this to be appropriate
in his absolute discretion, subject to prior consultation with the other members
of the Committee. c) Arrangements
for meetings of the Committee and the manner in which it manages the affairs of
the Club shall be determined from time to time by the Committee in its absolute
discretion. All business transacted by the Committee shall be determined by a
majority of votes of the members of the Committee present, and in the event of
an equality of votes, the President shall have the second or casting vote.
5. Club Rules The Committee may from time
to time make, repeal or amend all such rules and regulations as it shall consider
expedient for the proper management of the affairs of the Club, and the conduct
of the members. All rules and regulations made by the Committee shall be binding
upon all members following publication of notice thereof in the Club's magazine.
6. Trustees Not
more than four and not less than two members of the Club shall be selected by
the Committee and shall hold office until death, resignation, or removal from
office by decision of the Committee. The property of the club (other than cash
or other bank deposits which shall be under the control of the Treasurer) shall
be vested in them. They shall deal with the property of the club as shall be directed
by the Committee as notified in writing by the Secretary, and they shall be indemnified
against all risks and expenses in connection therewith out of the Club's property
or by the members of the Club jointly or severally. 7.
Alteration and lnterpretation of Constitution The Committee may alter, amend or rescind this Constitution
following notice of the proposed change in the Club's magazine, and the elapse
of one month, during which period members may make written representations to
the Committee about such proposals. Any matter not dealt with by this constitution
and any case of doubt as to its interpretation shall be referred to the Committee
whose decision shall be final. 8. Accounts
and Audit a) The Club is a non-profit making
organisation. All profits and purchases will be used to maintain or improve the
Club's facilities. No profit or surplus will be distributed other than to another
non-profit making body or to members on winding up or dissolution of the Club. b)
The financial year of the Club shall be the 30th November and the accounts of
the Club shall be as soon as practicable after the end of each financial year
be audited by a competent member appointed for that purpose by the Committee.
The Treasurer shall present the audited accounts to the Committee for adoption. 9.
Bankers The Committee shall appoint a Bank to
act as the Club's banker. The Club's bank account shall be subject to such financial
regulations as the Committee may from time to time make. 10.
Borrowing Powers The Committee shall be empowered
to borrow for the purposes of the Club upon such terms in such manner and upon
such security as it deems appropriate, and thereupon the Trustees shall at the
discretion of the Committee make all such depositions of the Club's property and
enter into such agreements in relation thereto as the Committee may deem proper. Acrobat Reader
